1. Acceptance of Terms
By accessing or using aMedia's website (amedia.ae), free tools located at /tools/, or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please discontinue use immediately.
2. Services
aMedia provides digital marketing services including, but not limited to: search engine optimisation (SEO), web design and development, mobile app development, graphic design, social media management, and paid advertising management.
Specific deliverables, timelines, payment terms, and service scope are defined in individual Service Agreements or Statements of Work ("SOW") agreed between aMedia and the client.
3. Free Tools (/tools/)
aMedia offers free online tools (such as meta tag generators, robots.txt generators, and other SEO utilities) at no charge. By using these tools:
- You agree to use them for lawful purposes only.
- You acknowledge that tool outputs are generated automatically and should be reviewed for accuracy before implementation.
- aMedia makes no warranty that tool outputs are error-free, complete, or suitable for any specific use case.
- You must not use the tools to generate spam content, violate third-party rights, or circumvent search engine guidelines.
- aMedia reserves the right to limit, modify, or discontinue any free tool at any time without notice.
- Excessive automated usage or scraping of tool endpoints is strictly prohibited.
4. Client Obligations
Clients engaging aMedia's paid services agree to:
- Provide accurate and complete information required to deliver services.
- Respond to requests for approvals, content, or feedback within agreed timelines.
- Ensure they have all necessary rights to content, materials, and assets provided to aMedia.
- Pay invoices in accordance with the agreed payment schedule.
- Not engage competing agencies for the same service scope during an active exclusive agreement.
5. Intellectual Property
Your assets
All content, trademarks, and materials you provide remain your intellectual property. You grant aMedia a limited licence to use them solely for delivering the agreed services.
Our deliverables
Upon receipt of full payment, ownership of custom deliverables (websites, app code, design files) transfers to the client as specified in the SOW. Strategy documents, frameworks, templates, and proprietary methodologies remain the intellectual property of aMedia.
Free tools
All free tools, their underlying code, algorithms, and outputs belong to aMedia. You may use tool outputs for your own projects but may not resell, sublicense, or distribute them as your own product.
6. Payment Terms
- Invoices are due within 14 days of issue unless otherwise agreed in writing.
- Late payments may incur interest at 2% per month on the outstanding balance.
- aMedia reserves the right to pause or suspend services for accounts overdue by more than 30 days.
- All prices are exclusive of VAT where applicable under UAE law.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of the engagement. This obligation survives termination of the agreement for a period of 3 years.
8. Limitation of Liability
To the maximum extent permitted by law, aMedia's total liability for any claim arising from our services or tools shall not exceed the total fees paid by the client in the 3 months preceding the claim.
aMedia is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity.
9. No Guarantee of Results
While we apply industry best practices and work diligently to achieve client goals, aMedia cannot guarantee specific outcomes such as search engine rankings, advertising ROI, or revenue growth. Digital marketing results depend on many factors outside our control, including search engine algorithm changes, market conditions, and competitive landscape.
10. Termination
Either party may terminate a service agreement with 30 days' written notice. Upon termination:
- All fees for work completed up to the termination date become immediately due.
- aMedia will provide all completed deliverables and transfer assets within 14 days.
- Prepaid fees for undelivered services will be refunded in accordance with our Refund Policy.
11. Governing Law
These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
12. Changes to Terms
We may update these Terms periodically. Continued use of our website, tools, or services after changes constitutes acceptance. We will notify active clients of material changes via email.
